1. Introduction
These Terms and Conditions (“Terms”) govern your use of the Finn Moray website and any associated creative works ("Content"), including songs, lyrics, musical arrangements, audio stems, AI-generated compositions, remixes, or related materials, whether accessed directly or through authorised platforms such as Suno.
The Content is legally owned by Sheret Energy Offshore Ltd (SEO), and used under the artist identity “Finn Moray”, performed and created by David Sheret.
By accessing or using any part of the Content, you agree to comply with these Terms and the applicable laws of Scotland and the United Kingdom.
2. Intellectual Property and Legal Ownership
2.1 Legal Ownership
All rights in the Content, including copyright and related rights, are held by Sheret Energy Offshore Ltd (SEO), the legal entity behind the Finn Moray project. This includes:

All original lyrics, compositions, arrangements, and performances;

AI-generated works created via licensed platforms;
-
All remixes, derivative works, and collaborations authorised by SEO.
Ownership applies whether or not rights are formally registered, and includes digital, physical, and AI-assisted works across all formats.
2.2 Artist Identity
“Finn Moray” is a performing name and artistic initiative under the creative direction of David Sheret, but the rights in all works and associated revenues remain with SEO, unless otherwise stated in a signed agreement.
3. Use of AI Platforms and Third-Party Tools
Where Content has been produced using external platforms (e.g. Suno), users must comply with those platforms’ terms of use.
Specifically:

Commercial use of AI-generated content must follow platform licensing rules.

Misuse of platform technology or breach of third-party terms may result in removal of your access to Finn Moray content.
4. The Social Compact and Profit Distribution
4.1 Ethical Revenue Sharing
The Finn Moray project operates under a formal Social Compact embedded within SEO’s governance model and charitable commitments. Accordingly:

50% of all net profits (gross revenue minus direct, reasonable, and auditable costs) are committed to the Finn Moray Trust, a charitable body governed in line with Scottish charity law.

The remaining 50% is retained by SEO to sustain the creative work and develop the project further.
4.2 Regional Allocation
For songs associated with specific Scottish locations:

The charitable 50% shall be allocated to community initiatives in those regions.

Where no clear locality is referenced, funds may be distributed across a national cultural fund or evenly across the 14 mapped regions referenced in the album AON.
5. Remixing, Adaptation and Collaboration
5.1 Permission and Attribution
Artists may request to remix, reinterpret, or build upon Finn Moray works, subject to:

Written permission from SEO;

Full attribution to the original artist (Finn Moray);

Adherence to artistic integrity and alignment with project values
5.2 Revenue Sharing for Derivatives
Where remix or derivative works are approved:

50% of net profits go to the region linked to the original;
-
25% to the contributing artist;
-
25% retained by SEO for reinvestment in the Finn Moray project.
Quarterly financial reporting and transparency are required from all commercial remixers or derivative artists.
6. Licensing Framework
Content is made available under a non-exclusive, revocable licence, subject to:

Accurate attribution to Finn Moray and SEO;

Mandatory compliance with profit-sharing obligations;

Revocation at any time if misuse or non-compliance is identified.
7. Prohibited Conduct
You are prohibited from:

Passing off the Content as your own;
-
Using the Content for commercial gain without complying with profit-sharing rules;

Circumventing accounting obligations via side agreements or undeclared income;
-
Using the Content in a way that misrepresents its purpose or damages the project’s integrity.
8. Artistic and Moral Standards
Use of the Content must uphold the cultural, emotional, and moral standards of the Finn Moray project. Specifically, the Content must not:

Be used to promote violence, hate, or discrimination;

Misrepresent Scottish places or culture;
-
Damage the reputation of SEO, Finn Moray, or the Finn Moray Trust;
-
Alter the underlying message or artistic intent of the work.
Where these standards are breached, licensing rights may be revoked.
9. Legal Structure and Oversight
SEO is the legal owner of all intellectual property and commercial rights.
The Finn Moray Trust is governed by a board of independent trustees as a proposed SCIO under OSCR supervision.
Annual reports will summarise income, expenditures, and charitable distributions.
10. Dispute Resolution and Legal Venue
All disputes will be subject to the laws of Scotland and adjudicated by the Scottish courts.
Alternative dispute resolution (e.g., mediation) may be pursued where both parties agree in writing.
11. Updates to These Terms
SEO reserves the right to revise these Terms. Changes will be posted on the official website. Continued use of the Content implies acceptance of updates.
